Terms of Service

Our terms and conditions for using our services.

1. Agreement to Terms

By accessing and using Bayrus Consultancy's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services Description

Bayrus Consultancy provides SaaS user activation and retention consulting services, including but not limited to:

  • User activation audits and assessments
  • Onboarding system design and implementation
  • Retention strategy development
  • A/B testing and optimization
  • Analytics setup and reporting
  • Ongoing consultation and support

3. Service Packages

14-Day Activation Proof Pilot

  • Conditional fee structure based on measurable D7 activation improvement
  • If D7 activation does not improve within the pilot period, we continue working at no additional cost until improvement is achieved
  • Client must provide necessary access to analytics and systems

90-Day Activation Sprint

  • Fixed investment with defined deliverables
  • Complete Activation OS implementation
  • Weekly progress reports and optimization

Monthly Retainer

  • Ongoing optimization and experimentation
  • 30-day cancellation notice required
  • Monthly billing cycle

4. Client Responsibilities

Clients agree to:

  • Provide timely access to necessary systems, data, and personnel
  • Respond to requests for information within 48 hours during business days
  • Implement agreed-upon recommendations in a timely manner
  • Maintain confidentiality of proprietary methodologies and processes
  • Pay invoices according to agreed payment terms

5. Payment Terms

  • Pilot programs: Payment due upon achievement of agreed metrics or completion of extended engagement
  • Sprint programs: 50% due upon contract signing, 50% due at project completion
  • Retainer services: Monthly payment due in advance
  • Late payments may incur a 1.5% monthly service charge
  • All payments are non-refundable except as specifically outlined in service guarantees

6. Intellectual Property

Bayrus Consultancy retains ownership of all proprietary methodologies, frameworks, and processes. Client retains ownership of their data and any custom implementations created specifically for their business. Both parties retain ownership of their respective pre-existing intellectual property.

7. Confidentiality

Both parties agree to maintain strict confidentiality regarding all proprietary information, business strategies, data, and methodologies shared during the engagement. This obligation continues indefinitely beyond the termination of services.

8. Service Guarantees

For Pilot programs specifically:

  • If D7 activation metrics do not improve within the pilot period, we continue working at no additional cost
  • Guarantee is contingent on client providing necessary access and implementing recommendations
  • Metrics must be clearly defined and measurable at project start
  • Force majeure events may affect guarantee terms

9. Limitation of Liability

Bayrus Consultancy's liability is limited to the total amount paid for services. We are not liable for indirect, incidental, or consequential damages. Our recommendations are based on industry best practices and available data, but results may vary based on implementation and market conditions.

10. Termination

Either party may terminate services with written notice. Pilot and Sprint programs have defined end dates. Retainer services require 30-day written notice. Upon termination, client receives all completed work and documentation. Payment obligations for completed work remain in effect.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from acts beyond reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, or government actions.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction where Bayrus Consultancy is incorporated. Any disputes shall be resolved through binding arbitration.

13. Modifications

Bayrus Consultancy reserves the right to modify these terms at any time. Clients will be notified of material changes via email. Continued use of services after notification constitutes acceptance of modified terms.

15. Entire Agreement

These Terms of Service, along with any signed service agreements, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter herein.
